Emptaris Terms of Service

Version: terms-2026-10-31-v1 Effective upon first publication of this version; applies when accepted with an order.

This standard offer is for US business customers. Prices are in US dollars.

Service and order

Emptaris is operated by 3LETTERS STUDIO, LLC, a Tennessee limited liability company. These terms apply to purchased business use when accepted with an order. The person accepting confirms authority to bind the customer. The order identifies enabled features, prices, billing intervals, funding allowance and renewal dates; a separately signed order controls an express conflict. Features described as forthcoming are not purchased deliverables.

Emptaris provides procurement calculations, editable work packages and, where enabled in the order, private company storage and AI-assisted drafting. Outputs are working analysis and drafts. They are not supplier qualification, engineering certification, customs classification, legal advice or an approval to contract. The customer checks assumptions, source evidence and outputs before business use. Emptaris does not contact suppliers or make commitments on the customer's behalf without separate express authorization. Learning material carries no accreditation promise.

Subscription and creator access

The Team platform charge is $699 annually in advance, renewing annually, plus $49 per named creator each month in advance, renewing monthly. Taxes, if applicable, are additional and shown before payment. Both paid components are required for new paid company work. The annual and monthly components can have different renewal timestamps; the confirmation shows each. An administrator must assign creator access. Reassigning a paid seat does not create another seat or another AI allowance. Read access remains subject to membership, MFA and permissions; a reviewer is not thereby authorized to create paid work.

A seat increase requires approval of the displayed prorated charge. Additional capacity becomes available after payment and reconciliation. A reduction takes effect at the shown next monthly boundary without refunding the current month. We do not silently convert a failed payment into free additional capacity. If only one initial payment completes, the service remains unactivated; contact support for completion or a refund of the unactivated purchase. We will not sell a second purchase as the required way to recover a failed first activation.

Company-funded AI and customer connections

Where enabled, each paid creator-month contributes $5 of internal provider-cost funding to a shared company allowance. This is a service limit, not cash, a deposit, a transferable credit or a promise of a fixed number of outputs. It expires at that paid monthly period's end. Paid seat increases add only the proportional remaining-window allowance. Annual platform payments and seat reassignment add none.

Before an attempt, the interface identifies the funding source and maximum amount of allowance that may be reserved. Actual provider cost is reconciled against that reservation. An attempt does not authorize an additional card charge or automatic top-up; purchasing additional funding requires separate checkout approval. A provider request can incur cost even when it times out, fails validation or produces an unsatisfactory draft. If cost cannot be confirmed, the reservation remains unavailable while reviewed; a held amount is not evidence that a usable output was delivered. We restore included allowance consumed by a verified Emptaris technical fault. Other disputes are reviewed on their evidence. A retry requires a new approved attempt.

If you select your own supported provider connection (BYOK), its charges and account terms apply separately. The annual platform and monthly creator subscription charges still apply; BYOK does not waive either charge or convert unused included allowance into cash. Disconnecting stops newly authorized requests; a request already sent may still incur provider charges. A failed connected-provider attempt does not automatically switch to company funding. Model availability, routing and data handling are shown for the enabled connection. Supplier research and live tariff/shipping services are included only if expressly enabled, not inferred from an AI drafting subscription.

Optional purchased AI funding

You may separately buy $5 of provider-cost funding for $10 retail, before applicable tax. This exchange rate is not a statement that a dollar of provider cost equals a dollar paid by you. The retail difference pays for service operation and risk; it is not all profit. The purchase is for use within the company account, not a transferable wallet, cash deposit or right to redeem funding for more than the unused proportion of the original purchase.

Purchased funding does not expire and is kept separately from included monthly allowance. Using it still requires current paid company coverage and an authorized named creator. Canceling a subscription pauses spending eligibility; it does not confiscate the remaining purchased balance. You may request a refund of unused purchased funding at support@emptaris.com, including when closing the account. We refund to the original payment method in proportion to unused confirmed funding: for a $10 purchase granting $5 of provider-cost funding, $3 confirmed unused returns $6 before the associated tax correction. We round the final cash amount to cents and cap cumulative refunds at the amount originally paid. Included promotional/monthly allowance is not cash-refundable.

A pending reservation is reconciled before its portion is refunded; we explain the pending amount instead of treating it as confirmed consumption. An authorized attempt with confirmed provider cost consumes purchased funding even if it yields no usable output. A verified Emptaris technical fault restores that funding for reuse or refund of its original retail proportion. There is no automatic retry against another funding source. Unused prepaid balances remain an outstanding service/refund obligation; subscription revenue and purchased funding are accounted for separately. Refund execution is an operator-reviewed process, not an instant self-service promise. Mandatory refund rights remain unaffected.

Renewal, cancellation and refunds

Cancel the annual platform renewal, monthly creator renewal, or both through the company's billing controls. If those controls are unavailable, send the request to support@emptaris.com; we use the verified request's receipt time when correcting any renewal caused by our failure to process it. A cancellation submitted before the displayed renewal timestamp prevents that renewal. The confirmation identifies the component and effective UTC timestamp. Cancellation after renewal does not retroactively cancel the already started period, subject to mandatory rights and corrections below.

Canceling monthly creators preserves their paid access until the monthly end; it does not cancel the annual platform subscription. Canceling annual platform renewal preserves access through its annual end and schedules creator billing to stop by that expiry. Monthly creator charges may occur before then. If the final paid monthly window extends beyond the platform end, we refund the unused overlap pro rata using the recorded window and paid creator amount, with applicable tax correction. This is reviewed processing, not an instant automated refund.

Except as required by law or expressly stated here, prepaid subscriptions are nonrefundable. We correct duplicate and unauthorized charges, refund an initial purchase that never activates if you choose not to complete activation, and provide the service-warranty remedy below. Requests go to support@emptaris.com with the company and invoice reference; do not send payment-card numbers. No response-time or refund-settlement-time SLA is promised. Cancellation does not automatically delete company records. Historical access/export remains subject to identity, membership and security requirements; it is not guaranteed permanent storage.

Content, access and confidentiality

You retain rights in your inputs. To the extent we hold transferable rights in output generated for you, we assign those output rights to you upon payment. This does not confer ownership of third-party content, facts, another person's intellectual property or exclusive rights in similar AI output. You may use and adapt exported work for your business. We retain the software, underlying templates, methods, branding and learning library and license any embedded Company material as needed to use your output. This does not permit resale of the service or copying the library as a competing product.

You grant us permission to process submitted content to provide, secure and support the selected service and meet legal obligations. We will not deliberately publish your nonpublic business content or use it in another customer's output. Authorized personnel and service providers may access it for those purposes subject to applicable obligations. Provider training/retention commitments are described separately below; this clause is not a zero-retention or universal model-training guarantee.

Submit only content you are authorized to use. Do not submit payment-card data, health records, government identifiers, special-category personal data, export-controlled technical data or other regulated material unless separately agreed and supported. Do not share credentials, evade limits, interfere with service, infringe rights or attempt access to another company's information. We may suspend access for security, unlawful use or nonpayment, with notice where practical and lawful. We will not claim that payment gives authority to use someone else's data.

Warranty and allocation of risk

We will provide the paid service with reasonable care and materially in accordance with the enabled features in the order. Notify us of a material failure within 30 days after discovering it. We will try to correct it within 30 days after notice; if we cannot, you may terminate the affected service and receive a prorated refund of its unused prepaid fees. This remedy does not promise any particular negotiation outcome, supplier performance, savings, uninterrupted availability or error-free AI content. Except for this express warranty and rights that cannot lawfully be excluded, the service and outputs are provided as available without implied warranties, including merchantability, fitness for a particular purpose or noninfringement.

To the extent permitted by law, neither party is liable for indirect or consequential loss, lost profits or business interruption. Each party's aggregate ordinary liability under the agreement is limited to the greater of $1,000 or fees paid or payable for the affected company service in the preceding twelve months. Liability for breach of confidentiality or data-protection obligations has a cap of twice that amount. These limits do not apply to fraud, willful misconduct, payment obligations or liability that cannot legally be limited. No contractual indemnity or mandatory arbitration is added by these standard terms. A negotiated enterprise order may allocate risk differently.

Tennessee law governs, excluding conflict-of-law rules, with disputes in courts of competent jurisdiction in Knox County, Tennessee, unless mandatory law requires another forum. Mandatory statutory rights remain intact.

Changes and contact

Contact support@emptaris.com for billing, service, privacy, security or legal notices. Material price changes apply only to a future renewal with at least 30 days' notice; where we cannot give that notice before the next renewal, that renewal retains the old price. Material terms changes receive advance notice and an opportunity to cancel; we do not retroactively change paid usage economics. A signed order and its accepted version are retained with the purchase record.
